I have upgraded exchange 2003 SP1 to a DC without any problems, but you better 
make sure you have a good backup and the time to restore it if it all goes to 
Sh!t.  And it takes almost 10 min. to boot on a 3.2 Dual Xeon raided with 
ulta320 HDD's with 150 mailboxes.
