First and foremost, I wonder if this is in fact legal. The lack of
specified term limits basically implies for lack of a better term a
dictatorship. I would think that would be in clear conflict with the intent
and purpose of an amutah. Good governance seems to necessitate that there
would be a system of checks and balances both of management and at the
board level. Secondly, the fact that your board seems to not think that
this is a big deal also raises a red flag. In theory, the board is supposed
to be committed to the mission of the organization and the organization
needs funds to carry out the mission. The fact that you are unable to apply
for funding because your board does not have term limits, which would be
easy enough to change, almost seems that the board might be deliberately
preventing the organization and management from carrying out the mission.
Could this be considered negligent? I echo Steve's wise comments and think
that this is the time for a serious cheshbon ha'nefesh on the part of the
leadership.

My work with Amutot keeps coming back to the lack of relevant Board's
leadership, especially as relates to resource development and overseas
relationships (Friends of...) including Funds & Foundations.
I suggest that some planful organizational development is in order.
