RE: new exchange

This makes your job much easier, just follow the steps below and lemme know if 
you are successful or not.
1.      Do a complete backup of all the information stores 
2.      Install win2k server on the new machine you want to use and bring it up 
to the service pack and hotfix level of the server you want to demote 
3.      Shut down the old server 
4.      Join the new server to the domain and ensure that the new server has 
the same name and ip address of the old server 
5.      Ensure that the smtp and nntp services are running 
6.      Log on with administrative priviledges and install exchange 2000 with 
the disaster recovery switch, this installs exchange server with an empty 
7.      install the service pack you had on the old server on this new box 
8.      Restore the backup 
9.      After restoring the backup, try mounting the mailboxes 
10.     In some instances the mailboxes might not mount, in such an instance 
you will need to run the eseutil tool on the database to restore any corruption 
11.     After this install your exchange antivirus and you will be fine 
12.     It is always advisable to have 2 copies of the backup just incase one 
of the copies fail
