OK John, I'll give you this one, flame on.
Look to Microsoft's technet or support site, search on upgrading and
start reading. It's actually not that difficult of a task, but you do
need the basics before you even start planning.

I am new to ms-exchange, I required valid tips from tech gurus.
I am assigned to perform the upgradation of exchange 2000 in windows
2000 member server to windows-2003 member server. The exchange server
needs to be upgraded to exchange 2003 in a clustered node. Also needs to
install a owa server in DMZ. Can any tech gurus please explain how to
proceed in these scenario. Your values are highly appreciated.
