Transfer it all as if you were doing a disaster recovery.

or

Install the server as a different server in the same site/org move all the
mailboxes across and keep the old server there as a contingency server.

I having a exchange 2000 server running on win2k and due to the server 
performance slow so i purchase a new server installed with win2k and 
exchange 2000 any good suggestion for transfer all my exchange database 
and mail boxes from the old server to the new server. Thank you.
