Hi Chand,

Windows Server 2003 only supports Exchange Server 2003, so you'd need to
perform the Exchange upgrade first.

As for checklists and step-by-steps, there is a plethora of information
out there, which is both good and bad.  Check out the following for some

I am running Exchange 5.5 on Windows 2000 server. I am planning an
in-place upgrade: WIndows 2000 to Windows 2003 and Exchange 5.5 to
Exchange 2003. I have downloaded the white paper from Microsoft.
