It can, but there is a patch that you must apply to the Windows 2000
DC(s) else the replication if the ADC fails.

On the new server, install the OS as Windows Server 2003, join to
domain,
promote to DC, transfer the roles, install Exchange 2003, move the mail
boxes, uninstall Exchange from old server, demote old server, clean up
services and remove from domain.

BUT, if at all possible do not load Exchange on a DC.
