Currently I am running Exchange 2000 SP2 off of the BackOffice 2000 CD set.  I 
can not perform a direct upgrade, so I have to modify the registry, then 
upgrade.  Do I have to uninstall the SP first?

According to Microsoft all you need to do is run setup from the
enterprise CD.  I would make sure that you have a solid backup in place
just in case.  I did it on a non-production Exchange 2000 standard
server and had no issues.  If you are thinking about applying Exchange
SP2 I would do that after you run the Enterprise installation.
