Microsoft officially recommends that any box(ex) running Exchange NOT be a
DC.  Having said this, I'll say that I run everything you can think of in
just one box, and it works fine (after a lot of config pains, tho, and with
a few odds and ends I'm still solving).

 

Note: "everything you can think of" includes DC, DNS, DHCP, Exchange2k, OWA
w/ SSL, ISA2k, VPN (both to remote DC and for Win XP clients), RIS, Dfs,
GPOs, Roaming Profiles, Folder Redirections, scheduled tape backups (of
files, AD & Exchange databases), logon scripts, Symantec AntiVirus Corporate
Edition (Server), SQL Server 2k, .Net Framework, a couple of dynamic ASPNET
sites, etc.

We've been told by a couple of consultants to make it a member server and
let another box act as DC.
