Then you original plan should work fine...

Assuming that you already have SMTP connectors set up on both machines,
that are routing and receiving their own mail to/from the internet... 

On the 5.5 box:
Set the "Smart Host" to be the internal IP of the Exchange 2k3 box.

On the Exchange 2003 box:
Set the IP of the 5.5 box to be allowed to relay.
Create a new SMTP Connector.  On the address space tab, create an entry
for the Exchange 5.5 domain name.  Set the connector's smart host to the
Exchange 5.5 box.  Make sure you check the "Allow messages to be relayed
to these domains checkbox"

To test, send a message from the exchange 5.5 box to the internet... It
should go out the SMTP connector of the exchange 5.5 box, into the
exchange 2k3 box, and out to the internet... Perfmon counters should
show this.

Then, send a message from a mailbox on the Exchange 2k3 box to a SMTP
address on the 5.5 box... It should flow directly from connector to
connector, not to the internet first.

Then, telnet to port 25 on your exchange 2k3 server, and manually send a
mail to an address on the 5.5 server.  It should be accepted, and
forwarded (again, connector to connector, not over the internet) to the
5.5 box.

Assuming it all test out correctly, call your ISDN ISP, and have them
change the MX record for the 5.5 domain to point to the IP address of
the 2k3 server.  Let the 5.5 server pop mail from the pop boxes for a
couple of days, and then disable the pop utility when you are satisfied
that all the mail is flowing over the new connection.

Then walk into the office and announce that you want a raise
commensurate with the amount that you just saved them on PTP-ISDN... ;-)

The two installs are completely separate, different Orgs and different
Domains.
