So you want to be an Arizona Corporation?
> A Checklist to Ensure Success
>
> 1.) First things first? you?ll need to attach a completed, official ACC cover
> sheet to the filing
> (this is a form available from ACC).
>
> 2.) Next, you need to choose a name. Something catchy like My Corp, Inc.
> would be a fine choice.
> The name must meet certain criteria and not already be in use by someone else
> (pursuant to
> A.R.S.§§10-401 and 10-2215.A.1). You can search for existing names and pay a
> $10 fee to reserve
> your name for 120 days while you file paperwork.
>
> 3.) The filing must also include a Certificate of Disclosure. This is where
> you must disclose any
> criminal records. This form (available from ACC) is also where the
> corporation chooses when their
> fiscal year will end. Two incorporators must be selected and they will sign
> this document. Their
> job is finished when the ACC approves the filed application.
>
> 4.) The Articles of Incorporation are also submitted at this time, indicating
> the following
> information:
> 1. The proposed name of the corporation.
> 2. The initial business / affairs of the corporation.
> 3. The street address of the known place of business in Arizona (can be a
> PO Box).
> 4. The name and address of the statutory agent (cannot be a P.O. Box.)
> 5. The applicable tax exemption code. (Nonprofit only, optional).
> 6. The name(s) and address(es) of the initial board of directors. Minimum
> of one.
> 7. The name(s) and address(es) of the incorporators (minimum of one).
> 8. Declare that the corporation will have members (nonprofit).
> 9. Affix signatures of all incorporators.
> 10. Affix signature of statutory agent (who acknowledges acceptance).
>
> 5.) A check made payable to Arizona Corporation Commission is included for
> the filing fees, which
> are only $40.00 (nonprofit). Add $35 to expedite the processing, turning a 5
> month process into 5
> weeks.
>
> 6.) The most expensive part of incorporation (of this type) is the
> publication of the Articles of
> Incorporation. They must appear in a newspaper of general circulation in the
> county of the known
> place of business in Arizona, for three (3) consecutive publications. They
> aren?t published until
> the ACC approves the filed documents. After they have been published, an
> Affidavit of Publication
> (provided by the newspaper) is submitted to the ACC. This step would likely
> cost around $150 or
> so.
>
> 7.) A step separate from incorporation, but necessary nonetheless, involves
> obtaining a federal
> tax ID (EIN).
