Paul, thanks for the clarification.
There are several forms that are filed with the Corporation Commission during
the incorporation
process, but the constitution isn't one of them. It is perfectly fine for the
C&B to be contained in
one document. The Articles of Incorporation is a completely separate document
from the C&B, and it
is the main paperwork for incorporation. This document emphatically states (or
so it should if
correctly drafted) that the the personal assets of the officers and directors
are completely
separate from the club.
I'll post a brief outline of the steps for incorporation. For a small club it
really is a relatively
simple process... but that doesn't mean it is a step that should be taken
without due diligence.

My info came from Gene, which is why we mention it.
As I understand and infer it, the constitution is what you file. So this is
the articles of
incorporation (I think). The bylaws are separate and can be change at any time
without a hassle.
The problem is, SAC's C&B are combined. As is EVAC's. If the constitution is
changed (say a new
officer is added), it needs to be refiled. So if the two documents are
separate, you know
immediately whether you need to refile depending on which you changed.
But this is just speculation on my part. I have never incorporated anything.
I just listen and
remember to what others tell me.
When EVAC incorporated, I was on its board. But all the work was done by a
lawyer who was a club
member, just before he moved to Australia. I seem to remember him mentioning
some heavy editing,
but again, I not sure about this.
