My info came from Gene, which is why we mention it.

As I understand and infer it, the constitution is what you file.  So this
is the articles of incorporation (I think).  The bylaws are separate and
can be change at any time without a hassle.  The problem is, SAC's C&B are
combined.  As is EVAC's.  If the constitution is changed (say a new
officer is added), it needs to be refiled.  So if the two documents are
separate, you know immediately whether you need to refile depending on
which you changed.

But this is just speculation on my part.  I have never incorporated
anything.  I just listen and remember to what others tell me.

When EVAC incorporated, I was on its board.  But all the work was done by
a lawyer who was a club member, just before he moved to Australia.  I
seem to remember him mentioning some heavy editing, but again, I not sure
about this.
