The modem probably has FAX capability or other telecom/voicecall 
capability.  It also sounds as if maybe the computer is going into standby 
or hibernation instead of power off.  Even if it is OFF,  it may still keep 
sufficient power on to allow a telecom capable modem to answer the phone. 
Check settings in Power Management and possibly in the BIOS.  Also look for 
the setting that contols what the power switch does when pressed.

Also check all the software that came with the modem, including the HELP 
files.  Especially if it is FAX or voice capable.  If the modem software can 
act as a telphone answering machine, it probably has a setting to turn on 
when the phone rings.
