George,
    It is a good bet that your Modem is a PnP modem and there LIKELY is a
very specific install procedure for one of those.  USUALLY they will install
with any system from Windows 95 up.
1. Part of the process usually involves removing the old Modem and removing
the software.
2. Do not install the PnP Modem,
3. Reboot the machine without any modems in it.
4. Install the new software, pay real close attention to the specific
instructions to be followed during step 6.
5. Shut down and physically install the modem
6. Boot the machine
