This sounds like it should work, but it is not doing what it states.
Maybe I am doing something wrong.
I highlight row 5, E5 is blank and D5 is dated 06-26-03 but it doesn't
highlight the row for some reason?

I think the formula you want to enter in the "Formula is" box, having
selected all the cells you want coloured for that condition and assuming
that row 5 is your first row, is:

=3DAND($E5=3D"",$D5<(today()-(365/3)))

Notice that the COLUMN is absolute but the ROW is not!
