the formula i have given should have been use with the "conditional formating" 
function of excel. i gave that formula assuming that you where referring to 
said excel functionality. i assume it because 
you use the word "conditionally format"

sorry if i mislead you but if you try to look at your perfected formula and the 
one i suggested its basically the same.

Thanks to Jim and Vergel,

I have now perfected the formula to look like this

IF((RANK(AC3,AC:AC,0))<.05*(COUNT(AC:AC))),"Very 
High",IF((RANK(AC3,AC:AC,0))<0.2*COUNT(AC:AC,0)),"High",IF((RANK(AC3,AC:AC,0))<0.5*COUNT(AC:AC,0),"Medium","Low")))


This is applied to a long list of potential risks which then have to be 
categorised. I have actually substituted cell references for the 0.05, 0.2 
and 0.5 multipliers, so I can change the number of each level by changing 
one number only.

I must admit when I first applied Jim and Vergel's answers it didn't work, 
so having understood what they suggested, I started from scratch, building 
the formula one level at a time.

Again thanks to Jim and Vergel for pushing me in the right direction!!
