Mike, I have one comment on the bylaws - not sure it is necessary but the last
few sets of bylaws I helped with we added a provision to allow board votes to
take place electronically in case actions ever needed to be taken when a
meeting could not be held, or between meetings if action on an urgent item was
needed.  As there is not a designated Executive Committee with the power to
take action between meetings this could be a good addition and be helpful in
the future. I assume ordinarily actions by the board are not urgent but you
never know.  In the bylaws I worked on we specifically addressed email  and
online project tools (such as Basecamp) as electronic areas votes could take
place.  We did set a higher response rate and higher quorum rules so it could
not be used to jam through an item of personal or smaller group interest.

I have no comments on the Mutual Aid agreement - it appears to be based on a
legal standard and probably shouldn't be messed with too much.
