agreement at Manassas airport.  (It is causing a bit of an uproar to those at 
HEF).

TIE-DOWN SPACE LEASE AGREEMENT

This Tie-Down Space Lease Agreement is made and executed on this
______day of __________, ______, by and between __________________, an 
individual or a corporation/partnership/limited liability company organized 
and existing under the laws of the State of _________________, with its 
principal office located at _________________________________________, in the 
State of ______________, hereinafter referred to as "Lessee" and the City of 
Manassas, owner/operator of Manassas Regional Airport, hereinafter referred 
to as "Lessor".

SECTION ONE

LEASE OF TIE-DOWN SPACE

The parties hereby recite and declare:

Lessor is the owner of the real property known as Manassas Regional Airport 
and located within the City of Manassas, Virginia.

Lessee desires to lease from Lessor a certain tie-down parking space 
(hereinafter "space") on the airport property on which to park the following 
described aircraft (hereinafter "aircraft"):

The parties, in consideration of the mutual convenants and agreements 
contained herein, agree as follows:

It is expressly understood and agreed by Lessor and Lessee that this Lease 
does not in any way create or imply a partnership by or between Lessor and 
Lessee, nor does it generate any liability on the part of Lessor, its 
employees, representatives, agents or assigns.

Lessor leases to Lessee and Lessee accepts a tie-down parking space located 
on airport property and as identified on the signature page hereinafter as 
"Assigned Space".  Lessee hereby agrees to pay the sum of $__________ per 
month as rent, on or before the 1st day of each month for the use of such 
space.  This lease is effective from the date of signing hereof to the end of 
the month and shall continue on a month-to month basis, commencing on the 1st 
day of each month and ending on the last day of each month (the "term"), 
unless sooner terminated in writing by either party, with or without cause, 
upon thirty (30) days prior written notice.  The lease rental rate is subject 
to change with thirty (30) days prior written notice.  Rental fees received 
after the 15th day of the month shall include a late penalty of 10% of the 
monthly rental amount and an interest fee of 10% per annum.  Lessee 
acknowledges and agrees that pursuant to Virginia Law, Lessor may! ! impose a 
lien upon the aircraft for the amounts which may be due to Lessor until such 
amounts are paid in full.

Lessee agrees to be subject to, bound by and to abide by all provisions of 
the Manassas Regional Airport Rules and Regulations and Minimum Standards as 
may be adopted and amended hereafter.

Lessee shall be responsible for ensuring that its aircraft is properly 
secured, including the provision of any necessary ropes. 

Lessee shall not assign, convey, encumber or mortgage this Lease or any 
interest under this Lease, or allow any transfer of this Lease.

Lessee shall not use, nor permit the use of, this space for any purpose other 
than storage of Lessee's aircraft and lease of this tie-down space shall not 
entitle the owner, its agents or employees the right to maintain, repair, 
rebuild, repaint, or otherwise work on this aircraft while parked in this sp
ace.
All maintenance that can be legally performed by the Lessee on his or her 
aircraft shall be conducted in an area designated by the Airport Director.

No cars will be allowed on the space while the aircraft is absent from the 
space.

Lessee shall not use the aircraft for any type of commercial operations 
including, but not limited to, flight instruction, rental, or charter, unless 
specifically permitted by the Manassas Regional Airport Commission through 
the issuance of a current Fixed Base Operator Franchise or Commercial 
Operating Permit.  By entering into this Lease, the Lessee agrees that the 
aircraft is considered to be based at Manassas Regional Airport and that 
Lessee shall obtain, keep current, and provide evidence to the Airport 
Director upon request of an aircraft license for said aircraft from the 
Virginia Department of Aviation or other applicable government agency.  The 
Lessor will provide only storage of aircraft in recital and if Lessee changes 
the aircraft in Section One B, the Lessee must notify the Airport Director.  
The Lessee is not authorized to park the aircraft anywhere other than the 
assigned space.

Lessee agrees to maintain, at its own expense insurance of such types and in 
such amounts that insure against liability for damage or loss to other 
aircraft or other property, and against liability for personal injury or 
death, arising from acts or omissions of Lessee, its agents and employees.  
Upon request the Lessee shall provide evidence to the Airport Director of the 
insurance coverage required in this section.

Lessee shall also provide to the Airport Director a copy of the FAA aircraft 
registration within thirty (30) days of signing this agreement.

SECTION TWO

WAIVER OF CLAIMS; INDEMNITY

Lessee shall indemnify, keep and hold harmless Lessor from and against any 
and all claims, demands, suits, judgements, costs, expenses, actions or 
proceedings of any kind and nature, asserted by any person or persons, 
including agents or employees of Lessor or Lessee, by reason of death or 
injury to persons or loss of or damage to property, resulting from lessee's 
fault or negligence, any breach or default of Lessee in performance of this 
Lease or anything negligently done or omitted by Lessee, its agents, 
contractors, employees, servants, representatives, assigns, invitees, sub 
lessees, or licensees except to the extent such injury, death, loss or damage 
shall be the result of Lessor's negligence.  In the event Lessor is 
negligent, the Lessee shall not indemnify the Lessor.  In case Lessor shall, 
without fault on its part, be made a party to any claim, proceeding, demand, 
or litigation commenced by or against Lessee or Lessor, then Lessee shall 
protect, indemnify an! ! d hold Lessor harmless and shall pay all costs, 
expenses, settlement amounts, claims, damages and attorney's fees incurred by 
Lessor, as a result of Lessee's negligence or fault.

It is understood and agreed that use of the tie-down space shall be at the 
sole risk of the Lessee and that the Lessor will not be held responsible for 
the aircraft or personal property located on the space, or within or about 
the Lessee's aircraft, belonging to the Lessee, its agents, employees, 
invitees, or guest and the Lessor shall not be liable for damage to or theft 
or misappropriation of any such property, or for damage to the aircraft 
caused by weather conditions or Acts of God, fire, theft, windstorm, rain, 
lightning, hail or any other cause.

SECTION THREE

DEFAULT

This Lease shall be considered breached and the Lessee in default if:

Lessee defaults in the prompt and full performance of any provision of this 
Lease and does not rectify the default within five (5) days after demand by 
Lessor.

In the event of any breach of this Lease, whether by breach, lapse of time or 
otherwise, or upon any termination of Lessee's right to possession of the 
space without termination of this Lease, Lessee shall surrender and vacate 
the space immediately and deliver possession of the space to Lessor and shall 
remove the aircraft owned by Lessee.  In the event possession of the space is 
not immediately delivered to Lessor, Lessor shall, at its option, and without 
further notice, have the right to terminate this Lease and to remove the 
aircraft with any other property of Lessee from the space using reasonable 
means, using such force as may be reasonably necessary without being deemed 
guilty of trespass, breach of peace or forcible entry and detainer, and 
Lessee expressly waives the service of any notice.  Exercise by Lessor of any 
of the rights specified above shall not prejudice Lessor's right to pursue 
any other remedy available to Lessor in law or equity.

SECTION FOUR

NOTICES

All notices, demands, or other writings in this Lease provided to be given or 
made or sent, or which may be given or made or sent, by either party to the 
other, shall be deemed to have been fully given or made or sent when made in 
writing and deposited in the United States mail, certified and postage 
prepaid and addressed as follows:

The address to which any notice, demand or other writing may be given or made 
or sent to any party as above provided may be changed by written notice given 
by the party as above provided.

SECTION FIVE

MISCELLANEOUS

It is agreed that this Lease shall be governed by, construed, and enforced in 
accordance with the laws of the Commonwealth of Virginia.

The invalidity of any portion of this Lease will not and shall not be deemed 
to affect the validity of any other provision.  In the event that any 
provision of this Lease is held to be invalid, the parties agree that the 
remaining provisions shall be deemed to be in full force and effect as if 
they had been executed by both parties subsequent to the expungement of the 
invalid provision.

The recitals set forth herein above are hereby incorporated into and made a 
part of this Lease agreement.
