Sorry, no easy way.
This would be my guess:
A:
1. Install Windows Server 2003 on new server.
2. Fully configure, including DNS, DHCP and printers.
3. Make that server a DC in the existing domain
4. Install Exchange 2003
5. Move all mail boxes.
6. Transfer all AD roles to new server.
7. Remove old Exchange.
8. Demote old server from AD DC
9. Remove old server
B.
1. Ghost image of existing server
2. Place image on new server
3. Shut down old server.
4. Start new server.
5. Hope all hardware changes take.
6. Ask on the Exchange List the proper way to upgraded from E2K on
W2K DC to E2K3 on W2K3 DC.
