merging of two companies - urgent help required

Hi all
There is a merger of two different companies, with different domains for
E.g. ABC.COM and XYZ.COM respectively.
They both have differernt E-mail servers also.
After merger they'll be one company.
The requirement is to make it a single domain
How do we go about merging the Windows 2000 with Active Directory services
both side, Exchange server 5.5 both the sides.
