Basically it fails with NTBACKUP, if the databases are on the same drive as the 
system state, normally the C: drive. Hopefully, the databases are not on the C: 
drive :)

That I cannot answer for sure.  I have always been told and have read not to
backup System State at the same time as Exchange.  Do not know if that means
ANY system state or just the Exchange Server's System State.  I will have to
defer to someone else on that.
