I think I did it that way and it it caused some issues for our
environment.
 
I think there is a specific way you need to remove the Exchange 5.5 from
the email system. If you don't follow that procedure you run the risk of
exchange 2003 thinking exchange 5.5 still exists or something like that.
 
Go to the Microsoft web site and search for directions on removing the
last 5.5 exchange server from your environment.
 
I didn't do it correctly and I had to go in and edit the Active
Directory to get rid of the last remnant of Exchange 5.5.  I think I had
to remove the SiteFolderServer from AD. I got the hint of that from this
list in January. I used the Microsoft Exchange Server Analyzer Tool and
found out that the siteFolderServer was still set as the server I had
deleted.

Stop all the services in Exchange 5.5
Remove all connectors in Exchange 5.5 and configure new conncetor in
your Exchange 2003
Change you MX record to newly created Exchange Server 2003
If you are not using Exchange 5.5 in future you can unistall it

my exchange 2003 is showing two servers one is exchage 5.5 and other is
exchange 2003.
