Two ways to do this -
To enable an Outlook user to manage a distribution group, open the Active Directory Users And Computers console in Exchange, and open the properties for the distribution group. On the Managed By tab, click Change. Select a user, click OK, and click OK to close the distribution group properties. <?xml:namespace prefix = o ns = "urn:schemas-microsoft-com:office:office" />
You also have to check the box which says "manager can update membership list"

to modify membership in a distribution group. Is there an KB article.?
Using Exchange 2003
