No, each DC doesn't need it's own FSMO role. Forget about FSMO roles in your
scenario because they're important to Active Directory but not to the
implementation you're describing.

In order to have one mail server you have to figure out what type of service
you want to provide to your users.  You can get some ideas from the
documents at this location:  http://www.microsoft.com/exchange/library and
look for anything that deals with planning multi-forest scenarios.
Microsoft defines several scenarios around multi-forest implementations that
are recommended.  You'll find the one that's right for you and a discussion
of how to implement it in those documents.

Ummm....FSMO roles...whats that got to do with it? Will i have to change any
default settings. I cant add the new DC to the existing forest, but i need
to use the same mail server...

2 dcs, 2 seperate forests, 1 mail server...HOW ?
Isnt Exchange 2000 dependent on an Active Directory?
