So you need to raise the Domain Functional Level and Forest Functional Level
to Windows Server 2003 and then you should be able to create Universal
Group.

we have a single win2k3 domain controller.  it's not running in universal
mode.

        Sounds like your running your Windows 2000 domain in Mixed mode, if
you
        don't have any Windows NT Domain Controllers then you can convert to
Native
        mode and then you will be able to create Universal groups.
