Licensing Policy!

Hi,
A very basic query:
What is the licensing scheme for MS-Exchage? I mean, is it per mailbox or
per client accessing the server.
Suppose, I have 40 CALs for Exchange and there are 300 mailboxex on it, but
at a given time, only 40 clients are accessing the mail server. Is this
situation OK? I am asking it for my knowledge purpose only.
