Syed,
When you add your first Windows 2003 DC to an existing Win 2000 forest,
you must run the ADPREP /forestprep and ADPREP /domainprep commands
first, give some time and then add the new 2003 DC. Also, there are a
few AD schema properties that may need to be edited. Or else you may get
some conflicting schema properties in your AD after the ADPREP is done.
Search the MS KBs to get the exact article that tells you what needs to
be modified.

while promoting the domain controller I should select Additional domain
controller isnt it ? If YES please let me know  "can a win2003 be an
additional domain controller of win2000 domain controller"

On the new server, install the OS as Windows Server 2003, join to
domain,
promote to DC, transfer the roles, install Exchange 2003, move the mail
boxes, uninstall Exchange from old server, demote old server, clean up
services and remove from domain.

BUT, if at all possible do not load Exchange on a DC.
