Vijay I already have upgraded with same procedure that u have written below.
now  I should install exchange 2000 and add it in existing organization
(EXCHANGE 5.5) and move mail boxes to new serve ..  right??

You don't have to install W2K on another domain, on the same server  install
NT as BDC. promote it to PDC, one u check everything is fine , login scripts
etc. then upgrade the OS to W2K install Active directory with same domain
Name. Test ur Active Directory and then use forestprep/domainprep and then
install the ADC and follow the steps.
Remember this method is time consuming but with virtually  0% downtime.

Thanks vijay. But windows NT is installed with exchange  5.5 and if I add
new win2k server with ADC it  makes a new domain. Windows NT has a different
domain.

Hi,
you can try these steps......
 
1. Install active directory connector on new w2k server with two way
connection aggrement to exchange 5.5 and w2k AD.
2. Install Exchange 2000  Join the existing 5.5 organisation.
3. use Active directory users and computers to move the mailboxes.
4. After moving the mailboxes move the connectors services like SMTP etc to
new server.
5. Move(replicate) the public folder to new server.
6. move the RUS recipeint update service.
7. Remove AD Connector. and finally remove the Exchange 5.5 server.
 
and u'll have the new e2k server with u

I am using exchange 5.5 and I want to upgrade it to 2000.  I have purchased
separate machine and every thing. Can any one help me how I transfer my
exchange 5.5 mail boxes  to exchange 2000. 
 
Should I install exchange on new server? Than how to move mailboxes??
