No reason to, really. SP2 has all the functionality of sp3. Sp3 is just all the updates of sp2 packed into 1, with 1 little enhancement or two that probably makes no difference.

I installed XP SP3 Friday.  This afternoon while transferring files
to the BP, Bookport Transfer kept closing.  Has anyone else had any
troubles with BP Transfer and XP Service Pack3?
