Hi Bastiaan,

I just checked it again on my test machine; I have the same amount of
free conventional mem before and after running Windows, so it works
here with Win98SE. Do you load any TSR programs or device drivers after
starting Windows that might keep it from exiting properly?

The free memory is same because...
Windows is still running, you are not 
Exiting/Crashing to DOS without having
Win.com, regardless of name, in memory.
To not have win.com loaded you must do cold reboot and boot to command line
