I think the installation notes recommend uninstalling version 3 first, but I can tell you that it won't be a disaster if you just install over the top. It's been a while since I've used Nod32 v3 so memory is a bit rusty, but I recall that during custom installation you have an option to switch the program's graphical interface which greatly enhances Nod's accessibility.
