Hi Sunil,

The sound is being played by a file called itunes.wav, which, by default, is in the Shared Settings folder along with the other iTunes script files. You can delete the file to stop the noise. It won't improve the responsiveness of your system, though; iTunes ties up a lot of system resources while importing to an iPod.
